Welcome to Wisdigix. These Terms of Service (“Terms”) govern your use of Wisdigix services, website, and offerings (collectively, the “Services”). By accessing or using our Services you agree to be bound by these Terms.

1. Who we are

Wisdigix is a digital agency providing web, design, marketing, cloud, security and data services. Contact: contact@wisdigix.com.

2. Services & proposals

We provide services described in our proposals, statements of work, packages, or on our website. Any work begins once parties sign a valid proposal or purchase order and payment terms are agreed.

3. Fees & payment

  • Fees are set in proposals or package pages. Unless stated otherwise, fees are quoted in USD (or the currency specified in the proposal).
  • Invoices are due within the payment term listed on your invoice (typically 7–30 days). Late payments may incur interest and pause of Services.
  • For subscriptions, recurring billing continues until cancelled according to the Refund Policy.

4. Client responsibilities

Clients must provide timely access to content, credentials, approvals, and any third-party accounts required to perform the Services. Delays caused by the client may shift delivery timelines and fees.

5. Intellectual property

Unless otherwise agreed in writing, Wisdigix retains ownership of pre-existing materials, templates and tools. Upon full payment, the client is granted ownership of deliverables specifically created for the project (final source files and assets), except for third-party software or licensed components which remain subject to their licenses.

6. Confidentiality

Both parties agree to keep confidential information private, and to use it only to perform the Services. Confidential information does not include information that becomes public without breach or was independently developed.

7. Warranties & disclaimers

We provide Services using reasonable skill and care. Except as required by law, all warranties (express or implied) are disclaimed. We do not warrant uninterrupted or error-free operation of third-party platforms or that specific business outcomes will be achieved.

8. Limitation of liability

To the maximum extent permitted by law, Wisdigix’s total liability for any claim arising from these Terms is limited to the total amount paid by you for the specific Services giving rise to the claim in the 12 months preceding the claim.

9. Termination

Either party may terminate by written notice in the event of material breach if the breach is not remedied within 30 days. On termination client pays for work completed and any non-cancellable third-party fees incurred.

10. Subcontracting

We may use vetted subcontractors and freelancers to deliver Services. We remain responsible for the work of such subcontractors.

11. Governing law

These Terms are governed by the laws of INSERT GOVERNING JURISDICTION without regard to conflict of law rules.

12. Changes to terms

We may update these Terms. Substantial changes will be communicated via email or posted on the website with a revised effective date.
